Intellectual Property
- Client-Owned Materials: Any content, brand assets, or materials you provide remain your intellectual property.
- Deliverables: Upon full payment, we assign all rights to the final deliverables (designs, code, content) unless otherwise agreed.
- UrbanWeb IP: We retain the right to use any pre-existing tools, frameworks, libraries, and methodologies used in the development process. We may also display completed work in our portfolio unless a non-disclosure agreement is in place.
Payment Terms
Payment schedules are outlined in individual project proposals. Typical terms include an initial deposit (40-50%) with the balance due upon completion or through milestone-based payments. Late payments may result in project delays or suspension of work.
Revisions and Scope Changes
Our proposals include a defined number of revision rounds. Additional revisions or scope changes beyond the original agreement will be quoted separately and may affect the project timeline.
Limitation of Liability
UrbanWeb's liability is limited to the total amount paid by you for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of revenue or business interruption.
Termination
Either party may terminate a project agreement with written notice. In the event of termination, you will be billed for work completed up to the termination date. Any intellectual property for work delivered and paid for will be transferred to you.
